The Memorandum of Association is one of two legal documents that are required to form a limited company, the document defines the following points:
The company's name
The address of the registered office (England, Wales or Scotland)
A statement of limited liability on the shareholders
A statement of the companies authorised share capital
The signature of one or more subscribers
The objects of the company (what it will do). The included template for the Memorandum of Association defines the objects as "carrying on business as a general commercial company". This format is used by the majority of formation agents and means the company can carry out business as it wants without being too specific.
How to create your Memorandum of Association:
Before you continue you will need to download the template pack, this will provide amongst other things a copy of the Memorandum of Association that can be customised to suit your requirements. Simply substitute the text highlighted in blue with your own company details as described below:
Both of these references must be changed to your own company name.
This line determines the situation of the registered office and should read either England and Wales or Scotland.
This is a statement of the companies authorised share capital and should be altered to the amount you would like to assign to your company.
This paragraph establishes the subscribers of the company. These are the individuals who have agreed to purchase shares on incorporation of the company, i.e. the first shareholders. Each subscriber must state their name and address in addition to the number of shares allocated to each shareholder in words.
Finally the person who witnessed the signatures of the subscribers must also state their name and address as well as their own signature.
